DUE DILIGENCE AND LEGAL EXPERTISE OF DOCUMENTS

Due diligence and the legal scrutiny of documents

Most transactions do not come undone through bad faith. They come undone through something no one thought to check — an authority that was never valid, a clause that quietly conflicts with the governing law, a counterparty whose name sits on a list it should not, a title that is not quite what it was said to be.

Our purpose here is simple: to make certain that what you are relying upon is real before you rely upon it.

- Authority to sign. We confirm that the person putting pen to paper genuinely holds the power to bind the party they claim to represent.

- Documents against the law. We examine instruments for their conformity with the legislation that governs them — so that what looks correct also is correct.

- The people on the other side. Where you instruct us, we screen counterparties and their officers against EU and US sanctions lists and registers of debtors, so you know with whom you are truly dealing.

- Title to property. We verify that ownership rights in real estate are as represented, before they become your problem.

Quiet, unglamorous work — and the reason a transaction holds when it is later tested.
